Terms of Service

Effective: April 22, 2026

1. Acceptance

By creating an account, downloading, or using the Wisdom Layer SDK ("Software"), you agree to these Terms of Service ("Terms"). If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization.

2. License Grant

Subject to these Terms and payment of applicable fees, Rhatigan Labs LLC ("we", "us") grants you a non-exclusive, non-transferable, revocable license to use the Software in accordance with your subscription tier:

• Free: Memory capture, semantic search, SQLite backend. Single agent. No commercial restrictions.
• Pro: All Free features plus dream cycles, directives, critic, health analytics, provenance, dashboard, Postgres backend, and integrations.
• Enterprise: All Pro features plus multi-agent coordination, provenance export, custom dream phases, and dedicated support.

3. License Keys

License keys are issued per account and are not transferable. You may not share, sell, or redistribute your license key. We may revoke keys that are shared or used in violation of these Terms.

4. Intellectual Property

The Software, including compiled binaries, algorithms, prompt templates, and documentation, is the exclusive property of Rhatigan Labs LLC. Patent pending (US). You may not reverse engineer, decompile, or disassemble the compiled portions of the Software.

5. On-Premises Deployment

The Software runs entirely on your infrastructure. We do not collect telemetry, usage data, or agent content. License key validation requires periodic connectivity to our API (api.wisdomlayer.ai) with a 72-hour offline grace period.

6. Payment & Billing

Pro and Enterprise subscriptions are billed monthly via Stripe. You may cancel at any time. Upon cancellation, your agents retain all accumulated memories and directives but stop learning (dream cycles, directive evolution, and critic features are disabled). No refunds for partial months.

7. Data Ownership

You own all data processed by the Software, including memories, directives, dream journals, and provenance logs. We have no access to your data. Upon termination, you retain full access to your local database files.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

9. Limitation of Liability

IN NO EVENT SHALL RHATIGAN LABS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Acceptable Use

You agree not to:

• Use the Software for illegal purposes or to harm others
• Attempt to circumvent license restrictions or tier gating
• Reverse engineer compiled components of the Software
• Redistribute the Software or any portion thereof
• Use automated means to create multiple free accounts

11. Termination

We may terminate your license if you breach these Terms. You may terminate at any time by cancelling your subscription and ceasing use of the Software. Sections 4, 7, 8, 9, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via email. Continued use after notice constitutes acceptance.
